Curaleaf raises Aurora Cannabis bid to implied US$5 per share
Curaleaf raised its bid for Aurora Cannabis to implied consideration of US$5 per share, a 25% increase, with a revised mix of Curaleaf shares and US$1 in cash. The offer implies an 86% premium to Aurora’s unaffected 30-day VWAP, and maximum consideration rose to US$6 per share.
1. Revised offer terms
Curaleaf increased its offer to 0.4013 subordinate voting shares plus US$1 in cash for each Aurora share, with cash representing about 20% of the consideration. The offer implies an 86% premium to Aurora’s US$2.75 unaffected 30-day VWAP as of Aug. 10, 2026, and the maximum consideration rose to US$6 per share from US$5.
2. Projected combined results
Curaleaf projects the combination would have more than US$1.5 billion in last-twelve-month revenue, nearly US$350 million in adjusted EBITDA and US$40 million in synergies.
