Curium US agreed to buy Lantheus for USD 102.5 per share in cash at closing.
The deal includes non-transferable contingent value rights, or CVRs, worth up to USD 12 per share, tied to commercial milestones through 2030; total consideration is up to USD 114.5 per share.
The implied transaction value is up to about USD 8 billion.
The companies expect the deal to close in H1 2027, pending shareholder and regulatory approvals.
The combination pairs Curium’s theranostics portfolio and manufacturing platform with Lantheus’ US radiodiagnostics franchise.
Lantheus is expected to delist on completion and will operate independently until closing.
