Amended filing revises EngineRoom acquisition disclosure

CXApp filed an amended 8-K to revise its June 3, 2026 disclosure on the EngineRoom acquisition.

Updated valuation and financial information led to a conclusion the deal was not significant under SEC thresholds. Separate EngineRoom historical financials or pro forma financials will not be filed, reversing the earlier expectation.

EngineRoom results since closing were included in the quarter ended June 30, 2026 consolidated financial statements.
