Cyabra announces special shareholder meeting

Cyabra will hold a virtual special shareholder meeting on Sept. 2, 2026.

Shareholders will vote on issuing at least 20% of outstanding common stock tied to the July 2026 private placement, exchange, and conversion transactions.

A separate vote will seek to amend the 2026 Omnibus Equity Incentive Plan by adding 20,000,000 shares to the plan pool.

The plan would also reset the annual share reserve to 15% of fully diluted capitalization, subject to board discretion to limit increases.

Another proposal would allow adjournment to seek additional votes if needed.
