Cyabra announces special shareholder meeting

Cyabra will hold a virtual special stockholder meeting on Sept. 2, 2026, via www.virtualshareholdermeeting.com/CYAB2026.

The meeting will include a vote on issuing at least 20% of outstanding common stock tied to a July 2026 private placement, related warrant exercises, plus preferred stock exchange and conversion.

Stockholders will also consider amending the 2026 Omnibus Equity Incentive Plan to add 20,000,000 shares, resetting the annual reserve to 15% of fully diluted capitalization.

Cyabra is also seeking authorization to adjourn the meeting if needed to secure additional votes on the proposals.
