Data I/O adopts amended 2023 omnibus incentive compensation plan

Data I/O adopted its 2023 Omnibus Incentive Compensation Plan, effective May 18, 2023.

• Share reserve is set at 2,500,000 common shares, expanded by unused or forfeited shares carried over from the prior stock plan.
• The plan authorizes equity awards including options, stock appreciation rights, restricted stock, restricted stock units, performance stock units, dividend equivalents, and other stock-based awards.
• Options and stock appreciation rights must carry an exercise or grant price at least 100% of fair market value on the grant date.
• The plan term runs through the 10th anniversary of the board adoption date, March 10, 2033.
