DFDV•DeFi Dev Corp authorized repurchases of up to all outstanding Variable Rate Series C Perpetual Preferred Stock (CHAD), including future issuances. The program has no fixed expiration date, and the company has no current plan to repurchase shares before CHAD reaches its $10.00 par value.
1. Repurchase authorization
The board authorized repurchases through open-market purchases or privately negotiated transactions, subject to securities-law limits. Management will determine timing and pricing, and the authorization also covers CHAD shares issued in the future.
