DGNX•Diginex shareholders will vote on a 10-for-1 share consolidation and an increase in authorized share capital at a November 20, 2026, extraordinary general meeting. The proposed increase would raise authorized capital from $200,000 to $520,000 through 800 million additional ordinary shares.
1. Shareholder proposals
Diginex shareholders will consider a 10-for-1 share consolidation, an increase in authorized share capital and related charter amendments at the November 20, 2026, extraordinary general meeting. The proposals could take effect at the board’s discretion independently of the Resulticks acquisition.
2. Acquisition timing
The proposed increase would raise authorized share capital from $200,000 to $520,000 through the creation of 800 million additional ordinary shares. After the consolidation, 129.5 million ordinary shares and 500,000 preference shares would be authorized, each with a par value of $0.004. If the acquisition closes first, the consolidation approved on October 8, 2026, would apply instead, so shares are consolidated only once.
