DigitalBridge delists NYSE-listed preferred shares ahead of SoftBank affiliate acquisition
DBRG•DigitalBridge plans preferred-share delisting ahead of acquisition
DigitalBridge entered a merger agreement on Dec. 29, 2025 to be acquired by Duncan Holdco, an affiliate of SoftBank Group.
Merger Sub I is set to merge into DigitalBridge, leaving DigitalBridge as the surviving corporation and an indirect SoftBank subsidiary.
In connection with the deal, DigitalBridge plans to delist its Series H, Series I, and Series J preferred stock from the NYSE.
Preferred holders would get a post-closing option to convert shares into cash on a specified conversion date, 20 to 35 days after notice.
Preferred stock terms are expected to remain unchanged following the delisting.
