DOJ Clears Shutterstock-Getty Merger; UK CMA Decision Due April 19
The U.S. Department of Justice has completed its Hart-Scott-Rodino Act review and unconditionally cleared Shutterstock’s proposed merger of equals with Getty Images. The companies expect substantial SG&A and capital expenditure synergies while awaiting the UK Competition and Markets Authority’s final decision due April 19, 2026.
1. DOJ Unconditional Clearance
The U.S. Department of Justice concluded its antitrust review under the Hart-Scott-Rodino Act and granted unconditional clearance for Shutterstock’s proposed merger of equals with Getty Images, removing the final U.S. regulatory hurdle.
2. Projected Synergies
Upon closing, the combined company expects to realize substantial synergies through reduced selling, general and administrative expenses and lower capital expenditures, strengthening its financial profile and operational efficiency.
3. UK Regulatory Review
The UK Competition and Markets Authority issued an interim report on February 19 and is conducting a Phase 2 review, with a final decision on the merger expected by April 19, 2026.
