1. Acquisition terms
Dorchester Minerals agreed on October 16, 2026, to acquire mineral and royalty interests from an unrelated third party covering approximately 4,300 net royalty acres in three Williston Basin counties in North Dakota. The seller will receive 1,250,000 common units, and cash received from the interests on or after July 1, 2026, will transfer at closing. Closing is expected on October 30, subject to customary conditions.
