1. Merger approved
Shareholders adopted the merger agreement with Neptune BidCo US. Under the agreement, Wallace Merger Sub would merge into DoubleVerify, leaving it a wholly owned subsidiary of Neptune BidCo US. Shareholders also authorized adjournment if needed, but sufficient support for the merger agreement rendered that approval moot.
