The warrants are exercisable only after authorized-share approval actions, and they run until the later of 180 days from issuance or 30 days after the authorized-share condition is met.

DynaResource raised $3 million in a private placement priced on Sept. 1, 2026 through unregistered sales exempt under Securities Act Section 4(a)(2).

Investors bought 6,666,666 units at $0.45 per unit, with each unit consisting of one common share.
