E-Power Inc. has signed a memorandum of understanding with Kehui International Ltd to establish E-Power Grid Inc. USA, focusing on microgrids for artificial intelligence data centers, power equipment and automation. Under the agreement, E-Power will hold at least a 55% ownership stake.

2. Contributions and Investment

E-Power will provide $1.5 million in cash to fund initial registration and establishment of the joint venture. Kehui International will contribute its Synchronous Constant Frequency Microgrid patents and ongoing technical support, with patent values determined by a third-party appraisal.

3. Market Rights and Milestones

The new entity holds exclusive rights to deploy the patented microgrid technology in the United States and Canada. The agreement includes a priority procurement clause for Kehui products and sets a $3 million cumulative sales target within three years to maintain patent retention.

4. Strategic Implications
