Elme Communities plans Nov. 6 dissolution under liquidation plan
ELME•Elme Communities plans to dissolve voluntarily on Nov. 6, 2026, after transferring its remaining assets and liabilities to a liquidating trust. Its shares have been suspended from NYSE trading, with OTC trading expected to begin Oct. 26 under ELMES.
1. Liquidation plan
Elme Communities plans to transfer all remaining assets and liabilities to a liquidating trust before its voluntary dissolution on Nov. 6, 2026. Shareholders will automatically receive proportional beneficial interests in the trust, with distributions dependent on funds remaining after liabilities are settled. The common shares will be canceled upon transfer, and the trust interests will not trade and generally cannot be transferred.
2. Trading suspension
The NYSE suspended trading in Elme Communities’ common shares over abnormally low prices. Delisting is expected without an appeal, and OTC trading is expected to begin Oct. 26, 2026, under the symbol ELMES.
