Elutia agreed to sell its SimpliDerm human acellular dermal matrix business to Cellution Biologics for up to $11 million.
The consideration includes $8 million in cash at closing, with up to $3 million tied to technology transfer and commercial milestones over 18 months.
Closing is expected in the second half of 2026, subject to customary closing conditions.
The divestiture is set to sharpen Elutia’s focus on NXT-41x, targeting a 2027 commercial launch in U.S. plastic and reconstructive surgery.
