Empery Digital heads into an Oct. 14 virtual annual meeting facing a full-board proxy fight launched by ATG Capital.
Delaware Chancery Court ruled Aug. 28 that ATG’s nomination notice was valid, allowing its nine nominees onto the ballot.
The board urged votes on its white universal card for its nine nominees only, warning votes for more than nine total nominees will be invalid.
The company plans to seek appellate review while continuing solicitation, citing concerns over alleged coordination with Tice P. Brown.
The board also recommended support for a 6,846,589-share 2025 equity incentive plan and auditor ratification alongside the contested director vote.
