Proxy fight over board seats and bitcoin liquidation
Empery Digital set an Oct. 14, 2026 virtual annual meeting amid a proxy fight with ATG Capital’s rival slate of nine directors.
The board rejected ATG’s nominations as bylaw-defective, and plans to disregard votes for ATG nominees unless a Delaware court orders otherwise.
Stockholders face a potential revote if a court order forces a new universal proxy card, voiding ballots already cast on the company’s card.
