Enlivex prices USD 400 million private placement at USD 5 per share

Closing requires shareholder approval under Nasdaq rules 5635(a),(b) and Israeli Companies Law Section 274.

Enlivex entered a securities purchase agreement for a USD 400 million private placement with a single institutional investor.

• Ordinary shares or equivalents are priced at USD 5 per share for USD, USDT and USD Coin funding.
• The price is USD 6 per share for RAIN token funding.
• The investor elected to fund in RAIN tokens, though that choice can change before closing.
• Enlivex has a 36-month put right that allows it to require up to an additional USD 400 million purchase on the same terms.
