Ensign Group tightens shareholder director nomination, proposal notice rules in bylaw revamp

Ensign Group adopted amended and restated bylaws on Aug. 20, 2026, effective immediately.

The changes tighten procedures for shareholder director nominations, including expanded disclosure requirements for proponents, nominees and related persons.

The advance-notice window has been reset to 90-120 days before the prior annual meeting anniversary, with a later deadline if meetings shift.

Director nominees must be available for interviews with board members as part of the nomination process.

For the 2027 annual meeting, nomination or proposal notices must be received Jan. 13-Feb. 12, 2027.
