Equity Residential shareholders voted on share issuance for AvalonBay merger at special meeting
EQR•Special meeting approves merger share issuance
Equity Residential held a special shareholder meeting today on the pending merger of equals with AvalonBay.
Shareholders adopted the resolution to issue Equity Residential common shares to AvalonBay stockholders as merger consideration.
The vote authorizes the share issuance if the transaction closes; it does not by itself complete the merger.
The companies still expect the merger to close on Aug. 17, 2026, subject to customary closing conditions.
If completed, each AvalonBay share will convert into the right to receive 2.793 Equity Residential common shares.
