Etsy says UK CMA clears Depop sale to eBay, closing set for July 30

Etsy agreed to sell Depop to eBay, with closing now expected on July 30, 2026 following UK CMA clearance on July 15.
The closing date is set for the later of July 30 or the second business day after remaining conditions are satisfied or waived.
Closing-condition tests were narrowed to post-July 12 events tied to intentional acts or omissions by Etsy or Depop with actual knowledge.
Termination fee schedule was reset to USD 68 million for certain terminations through July 15, rising to USD 158 million thereafter.
Lockbox date moved to 12:01 a.m. GMT on July 17; eBay will pay SOFR + 0.40% interest from then to closing.
