First Watch amendment discloses annual say-on-pay vote frequency decision

First Watch filed an amended Form 8-K on July 31, 2026 to add its decision on the frequency of future say-on-pay votes.

The board set say-on-pay votes to occur annually, consistent with the stockholder advisory vote at the May 20, 2026 annual meeting.

Stockholders backed annual votes with 46,337,934 shares, versus 2,681,394 for every three years and 28,283 for every two years.

The next advisory vote on say-on-pay frequency must occur no later than the 2032 annual meeting.
