Flex enters USD 3.3 billion 364-day term loan credit agreement with Citibank-led lenders
FLEX•Flex entered a USD 3.3 billion, 364-day senior term loan agreement on Sept. 29, 2026. The undrawn facility is intended to help fund cash consideration for its EPC Power acquisition, related fees and other permitted uses.
1. Loan facility details
The facility has committed funding of USD 3.3 billion and was undrawn at closing, with a single advance available during the availability period. It matures 364 days after funding and carries a floating rate of Term SOFR or Base Rate, each plus a ratings-based margin.
2. Bridge commitments reduced
Citibank serves as administrative agent. When the new facility became effective, commitments under Flex’s existing USD 4.4 billion, 364-day bridge facility were reduced dollar-for-dollar by the new facility’s amount.
