Flowers Foods amends bylaws to update shareholder advance-notice disclosure rules

The bylaws also update the exclusive-forum terms to reflect Georgia law, including the potential removal or transfer of certain foreign actions to the Georgia State-wide Business Court.

The bylaws add a severability clause.

Flowers Foods adopted amended and restated bylaws effective Aug. 28, 2026.

The changes tighten advance-notice disclosure rules for shareholder director nominations, proxy contests and proposals outside Rule 14a-8.
