FOXO Technologies Inc. said its board authorized a reverse stock split of up to 1-for-1,000 as part of a potential Nasdaq or NYSE American uplisting.
- The board acted by unanimous written consent on Aug. 13, 2026 to pursue a reverse stock split tied to an exchange uplisting.
- A certificate amendment would allow a reverse split ratio from 1-for-50 to 1-for-1,000, effective only if the board proceeds.
- Majority shareholder Rennova Health delivered written consent on Aug. 13, 2026, representing about 99.12% of voting power.
- The board set a deadline of June 30, 2027 to file the amendment, subject to FINRA processing and board discretion.
