Garden Stage holds extraordinary shareholder meeting; 99.84% voting power represented by proxy

Garden Stage held an extraordinary general meeting on Aug. 26, 2026. Shareholders approved an increase in authorized share capital to USD 1 million, raising authorized Class A shares to 49,953,750.

A third amended and restated memorandum and articles of association was adopted, subject to the authorized capital increase.

Transfer agent, share registrar, and registered office provider were authorized to update the share register and make filings reflecting the changes.

An adjournment authority was also approved to allow additional proxy solicitation if needed to pass the other resolutions.
