GEE Group audit committee probes undisclosed employment agreement for CEO’s daughter
JOB•GEE Group’s audit committee opened an independent inquiry into an undisclosed five-year employment agreement with CEO Derek Dewan’s daughter, Allison Dewan, who was named vice president of corporate development. The agreement provides a $110,000 base salary, and compensation exceeded $120,000 annually.
1. Inquiry and agreement
The audit committee is reviewing the agreement’s origin and authorization, disclosure and internal controls, and related-party disclosure. Dated April 27, 2023, the contract runs through April 26, 2028, with automatic one-year extensions unless either side gives notice; it also includes bonus and equity eligibility, perquisites, restrictive covenants, severance and change-of-control terms similar to those for executives.
