Global Arena Holding sells U.S. election services business to Easterly-backed GES Acquisition
GAHC•Global Arena Holding agreed to sell its U.S. election services business to GES Acquisition for assumed liabilities, $1.42 million in cash and 1,841,761 common shares. At closing, $3.196 million previously funded by Easterly, plus $432,525 in accrued interest, is set to be forgiven.
1. Sale terms
Under an amended asset purchase agreement, Global Arena Holding will sell its U.S. absentee, mail-ballot and online election services business to GES Acquisition. Consideration includes assumed liabilities, $1.42 million in cash to subsidiary Global Election Services and 1,841,761 GES Acquisition common shares. At closing, $3.196 million previously funded by Easterly and an affiliate, plus $432,525 in accrued interest as of Oct. 2, 2026, is set to be forgiven, eliminating ongoing repayment obligations to Easterly.
2. Pre-closing steps
Before closing, Global Arena Holding is to issue 6,729,668 Series A convertible preferred shares to Easterly and an affiliate at $0.00001 per share.
