Global-e to Acquire Passport for $350M to Enhance Cross-Border and Last-Mile Logistics
GLBE•Global-e will acquire Passport Global Inc for $350 million in cash and ordinary shares, with up to $75 million contingent on 2026 financial targets. Global-e agreed to purchase Passport Global Inc for $350 million, split equally between cash on hand and newly issued ordinary shares. An additional contingent payment of up to $75 million is tied to Passport achieving specified 2026 financial milestones.
2. Strategic Rationale
The acquisition deepens Global-e’s asset-light, multi-carrier network across cross-border, domestic and last-mile deliveries, while adding direct injection, consolidated returns and customs brokerage. Passport’s existing non-Merchant of Record solution will enable Global-e to serve additional merchant segments requiring flexible post-purchase logistics.
3. Financial Impact and Timeline
Passport is projected to generate roughly $100 million in revenue in calendar 2026, growing at a pace slightly above Global-e’s forecast. The deal is expected to close in early July 2026 and have a neutral to slightly positive impact on Global-e’s Adjusted EBITDA in H2 2026.
