Goosehead settles Dollens shareholder suit, amends stockholders agreement

- Goosehead Insurance resolved the Mickey Dollens shareholder suit in Delaware Chancery Court under a settlement first reached Aug. 8, 2023.
- The court entered an order and final judgment on June 30, 2026, clearing the settlement to take effect.
- The settlement required amendments to a 2018 stockholders agreement, despite later Delaware law changes and a January 2026 reversal of the Moelis ruling.
Amended agreement preserves certain consent rights
- A July 8, 2026 amended and restated agreement preserves pre-IPO holders’ consent rights while they own at least 10% of outstanding common stock.
- Those rights cover major corporate actions, board size, select executive pay decisions, and majority board nominations, subject to directors’ fiduciary duties.
