Gossamer Bio announced a structured private placement with gross proceeds of up to $250 million to fund seralutinib through potential FDA approval.
- $150 million is committed, split between $25 million at an initial closing expected around Aug. 24, 2026.
- Another $125 million would fund at a second closing upon FDA acceptance of a PAH NDA in 2026.
- The initial closing issues pre-funded warrants priced at $0.1399, equivalent to $0.14 per share less a $0.0001 exercise price.
- The second closing includes FDA Approval Warrants; full cash exercise at $0.19 per share could add up to $100 million.
