Hain Celestial rises after agreeing to sell international business for $323 million

Hain Celestial said it remains in discussions with its lenders regarding an amendment to its credit agreement to extend the maturity date beyond December 22, but warned there can be no assurance an amendment will be obtained.
The company added that Aurelius has the right to terminate the agreement if Hain fails to secure the amendment within 30 days of signing.
The deal is expected to close in the quarter ending December 31, 2026.

Hain also reported a 28% decline in fourth-quarter sales to $263.1 million.
As of the last close, the stock was down about 42% year to date. Hain's market capitalization was $55.90 million, according to data compiled by LSEG.
Hain Celestial agrees to sell international business
Shares of organic and natural products maker Hain Celestial HAIN.O were up about 10% at 70 cents premarket after the company agreed to sell its international business, including brands like Ella's Kitchen, Hartley's and McCartney, to Aurelius for about $323 million in cash.
Hain Celestial said it expects to generate net proceeds of about $305 million to $310 million from the deal and $16 million in annualized cost savings compared with fiscal 2026. The company said the proceeds would be used to reduce debt.
