Harbor Diversified delays Q2 10-Q filing, says it needs more time to finalize 2025 audit
HRBR•Form 12b-25 filed to delay quarterly report
Harbor Diversified filed a Form 12b-25 to delay its Form 10-Q for the quarter ended June 30, 2026.
Management cited the need for more time to finalize financial statements and complete the audit for the year ended Dec. 31, 2025. The filing lag also reflects work to complete prior-period SEC reports and accounting tied to the Jan. 9, 2026 aviation-asset disposition.
The company does not expect to file the 10-Q within the 5-day extension period under SEC rules. It also flagged significant operating changes, citing the end of its American Airlines capacity purchase agreement and no material operating assets post-disposition.
