1. Controls and governance
Harmony Gold’s fiscal 2026 governance report disclosed ineffective financial reporting controls at June 30, 2026, citing four material weaknesses. Three remained unresolved from June 2025, and control failures contributed to restatements of fiscal 2024 and 2025 comparatives. Chairman Patrice Motsepe remained non-independent, while 13 of 17 directors were independent non-executives as of October 15, 2026.
2. Incentives and safety
The proposed CEO on-target total incentive range would rise from 180% to 220%, with 210% planned for fiscal 2027. Fatalities fell to six from 11 in fiscal 2025, and safety’s weighting in the remuneration scorecard increased from 15% to 20%.
