HealthStream signed a second amendment to its revolving credit agreement with Truist Bank on Sept. 10, 2026.
- Facility size held at USD 50 million revolving loans, with USD 5 million swingline sublimit and USD 5 million standby letter of credit sublimit.
- Maturity extended to Sept. 10, 2031; includes an option to upsize by up to USD 25 million, subject to lender commitments.
- Borrowings are priced at base rate or term SOFR plus leverage-linked margins; initial margins are set at 0.5% for base-rate loans and 1.5% for SOFR loans.
- Financial covenants include a maximum net funded debt leverage ratio of 3.00x and a minimum interest coverage ratio of 3.00x; obligations are unsecured.
