HealthStream set special restricted share unit grants for named executive officers on Sept. 18, 2026 under its 2022 Omnibus Incentive Plan.
Each of Robert A. Frist, Jr., Michael M. Collier, Trisha L. Coady, and Kevin P. O'Hara received 15,395 Time-Based RSUs valued at $450,000.
Scott A. Roberts received 12,316 Time-Based RSUs valued at $360,000; vesting occurs 25% annually over four years.
Performance-Based RSUs totaled 5,132 each for Frist, Collier, Coady, and O'Hara, valued at $150,000; Roberts received 4,105 valued at $120,000.
The Performance-Based RSUs can vest in 25% increments tied to annual targets for 2027 through 2030.
