HeartSciences amends merger deal with Fortitude Mining Holdings to revise redemption, consent terms

HeartSciences entered an amendment on July 27, 2026 to its June 23, 2026 merger deal with Fortitude Mining Holdings.
The changes swap in a revised A&R LLC agreement to clarify redemption mechanics.
The amendment also replaces the proposed parent charter to adjust requirements for HeartSciences shareholder action by written consent.
