Investors also received warrants to buy 8,000,000 shares at $0.06 per share, exercisable for five years from issuance.
The sale was structured as an unregistered offering under Section 4(a)(2) and/or Rule 506(b) of Regulation D.
Agreements were signed on Aug. 25, 2026 with accredited investors.
