HNO International amends 8-K to add omitted Lambda Ventures financing transaction

HNO International filed an amended Form 8-K to correct an omission in its May 8 report on May 5 financing transactions.

The amendment adds a second Securities Purchase Agreement with Lambda Ventures, mirroring the Monroe Street deal disclosed previously.

Lambda provided $62,500 gross for a $67,500 Convertible Promissory Note, reflecting a $5,000 original issue discount. Net proceeds were about $57,625 after $3,000 legal fees and $1,875 placement agent fees were withheld at funding.

The transaction included a warrant for 385,000 shares at $0.25, with the note convertible at 60% of the lowest 20-day traded price.
