H&R published a unitholder meeting presentation backing a $6.7 billion transaction that would see GO acquire its U.S. residential-focused portfolio.
Unitholders are being asked to vote on the GO acquisition of H&R and related asset sales of industrial and non-core assets to third parties.
Consideration is set at CAD 4.28 cash per unit and 0.5688 GO REIT units per unit; implied upfront value is CAD 12.01 per unit.
The deal implies an equity value of CAD 3.4 billion and an enterprise value of CAD 6.7 billion. GO assumes CAD 550 million of debentures and about USD 1.1 billion of property debt.
H&R unitholders are expected to own about 67% of the combined entity, with closing targeted in Q4 2026, subject to approvals and conditions.
