ICE adopts amended certificate extending voting, ownership limits tied to SBSEF rules

ICE put an eighth amended and restated certificate of incorporation into effect on Aug. 28, 2026.

The changes supplement August 2025 amendments tied to ICE Swap Trade’s SEC registration as a security-based swap execution facility.

The amendments extend existing stockholder voting and ownership limits to SBSEFs.

They also broaden SEC review requirements for charter changes while ICE controls, directly or indirectly, an SBSEF.

Board action came Feb. 27, 2026. Stockholder vote followed May 15, 2026.
