ICON updated its Employee Share Option Plan 2008 effective October 20, 2026, allowing option grants through February 14, 2037. The plan caps share issuance at 6 million, reduced by shares issued or issuable under the Consultants Plan. Annual grants are limited to 400,000 shares per employee, and option terms cannot exceed 10 years. A change in control may trigger accelerated vesting or cash cancellation of outstanding options.
