- Two proposals are under review: a bid led by Meir Shamir with the CEO, and Steel Partners’ offer to buy 100%.
- The committee said Steel Partners previously sought a majority stake, not a full buyout, which it said raises different issues for unaffiliated holders.
- Independent directors said the process is separate from management or any single shareholder, with authority to negotiate or reject proposals.
- Shareholders would vote if the committee recommends a deal and the board adopts it.
