2. Warrant Terms and Expiration
Each Series A and Series B warrant is immediately exercisable at $1.75 per ordinary share and expires 60 months after issuance. The number of securities issuable under each warrant may be adjusted under the terms of the registration statement.
3. Use of Proceeds
The company will use $2.5 million of net proceeds to make a non-interest bearing loan to Blockfuel to exercise its call right under a December 2025 stock purchase agreement. Remaining proceeds, combined with existing cash, will support general corporate purposes and working capital.
