Inovio adds Delaware Chancery Court exclusive-forum bylaw for key shareholder suits
INO•Inovio adopted a bylaw amendment effective Oct. 6, 2026, naming Delaware’s Court of Chancery the exclusive venue for specified corporate disputes and U.S. federal district courts the exclusive forum for Securities Act claims.
1. New forum provisions
The amendment makes Delaware’s Court of Chancery the sole venue for specified actions, including derivative suits and fiduciary-duty claims, absent written consent. U.S. federal district courts are designated as the exclusive forum for claims under the Securities Act of 1933.
