Interactive Strength priced a USD 2 million July 2026 Class B Incremental Note after an investor exercised Class B Incremental Warrants on July 21, 2026.
The note matures July 21, 2027 and is convertible before maturity at USD 3.597 per share, subject to adjustments.
The investor also received Class B Incremental Common Warrants for 305,810 shares, based on the July 20, 2026 close of USD 3.27.
The common warrants carry a USD 5.527 exercise price and are exercisable from July 21, 2026 through July 21, 2033.
Conversions or exercises are capped to prevent the investor exceeding 4.99% beneficial ownership, or 9.99% at the investor’s option.
