1. Company Launches $100,000 Non-Brokered Private Placement

Oracle Commodity Holding Corp. has announced a non-brokered private placement offering up to 2,000,000 units at CA$0.05 per unit to raise gross proceeds of up to CA$100,000. Each unit comprises one common share and one common share purchase warrant exercisable at CA$0.06 for three years. The financing is subject to TSX Venture Exchange approval and customary closing conditions, including a four-month hold period on all issued securities.

2. Significant Insider Participation and Related-Party Exemptions

A director of the company will subscribe for up to 1,000,000 units, representing up to CA$50,000 of the total placement. Because the insider’s participation does not exceed 25% of market capitalization, Oracle Commodity plans to rely on exemptions from minority shareholder approval and formal valuation requirements under Multilateral Instrument 61-101. A material change report will be filed in connection with the related-party transaction.

3. Proceeds Earmarked for General Corporate Purposes with Low Complexity

Net proceeds from the placement will be deployed for general corporate purposes, including potential business development and working capital. No specific project is designated, minimizing execution risk but offering limited visibility into value-accretive investments. The small size of the raise suggests the company is in an early stage of capital planning and may require larger financings later to advance its royalty holdings in precious metal and critical mineral mining projects.
