JFB Construction, XTEND file amended S-4 as companies target Q3 close for merger deal

JFB Construction Holdings is combining with defense robotics group XTEND, with closing targeted for Q3 2026.
The companies filed a second amended Form S-4 on July 20, reflecting SEC review updates and continued progress toward completion.
Post-close, the combined company is expected to be renamed XTEND AI Robotics and list on the NYSE under ticker XTND.
Since the February 17, 2026 deal announcement, XTEND has publicly announced more than $27 million of defense orders.
Management cited an active pipeline above $500 million ahead of the anticipated closing.
