Jupiter Neurosciences licenses exclusive US rights to PharmAla’s ALA-002 in deal valued up to USD 100 million

Jupiter Neurosciences signed a definitive license with PharmAla for perpetual exclusive U.S. rights to ALA-002, valued up to USD 100 million.
The USD 3.3 million upfront payment includes USD 1.5 million cash and USD 1.8 million in common stock subject to a 120-day lock-up.
Milestones, royalties and supply terms
Milestones include USD 3.3 million at Phase 3 first patient in, USD 20 million on U.S. NDA approval, and sales-based payments up to USD 73.3 million.
Royalty is set at 3% of net sales, starting after the third commercial milestone.
ALA-002 is an FDA NCE-designated, patented non-racemic MDMA candidate, and PharmAla will supply GMP drug product under terms to be negotiated.
